ClassX Instructor Agreement

Effective Date: May 12, 2025

Welcome to ClassX.

This Instructor Agreement outlines the terms and conditions under which instructors may launch and deliver classes through the ClassX platform.By offering a course via ClassX, you agree to the following:

1. Purpose

This Agreement applies to all classes voluntarily launched by instructors using the ClassX platform. For any course initiated by ClassX in collaboration with third-party partners (e.g., Google, governmental agencies, certification bodies), a separate agreement will be provided.

2. Compensation

2.1 Instructor-Owned Courses (In-Person)

If you own the course content, your compensation follows this model: Instructor Revenue = (75% × Total Student Revenue) – Venue Cost

2.2 Third-Party Licensed Courses (In-Person)

If you’re delivering a course from a ClassX-certified partner (e.g., CompTIA, Certnexus, Google), your compensation is: Instructor Revenue = (75% × Total Student Revenue) – Venue Cost – Course/Certification Cost/Person

2.3 Virtual Live Classes (Online, Instructor-Led)

For live virtual classes: Instructor Revenue = (75% × Total Student Revenue) (No venue cost is deducted but the price of the class is 25% less of the in-person class.)

!Note: For virtual live classes, intellectual property is co-owned by the Instructor and ClassX. The Instructor may not promote, distribute, or monetize the content outside ClassX without prior written approval. ClassX retains the exclusive right to monetize the content within its ecosystem, subject to the Instructor’s written agreement. If monetized (e.g., through subscriptions or on-demand access), the Instructor may be entitled to royalties of up to 50%, to be defined in a separate agreement.

3. Intellectual Property

3.1 Instructor-Owned Courses
Certain features of the Service may require you to pay fees. Before you pay any fees, you will have the opportunity to review and accept the fees that you will be charged. All fees are in U.S. Dollars and are non-refundable except as required by law.
3.2 Virtual Live Classes

Co-owned. ClassX has exclusive monetization rights within its platform and requires your written agreement to proceed with monetization. External distribution by the Instructor is not permitted without prior approval.

4. Instructor Responsibilities

By listing a class on ClassX, you agree to:

  • Deliver classes as scheduled
  • Provide an inclusive, high-quality experience
  • Follow venue rules and local laws
  • Avoid cancellations within 14 days (except in emergencies)

5. Independent Contractor

All content on the Service, including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the property of ClassX.tech or its content suppliers and is protected by international copyright laws.

6. Confidentiality

You agree not to share or misuse confidential information provided by ClassX, including internal tools, pricing, and learner data.

7. Dispute Resolution

This Agreement is governed by the laws of the State of Delaware. Any disputes will be resolved through arbitration or mediation in California, unless otherwise agreed.
