ClassX Host Agreement

Welcome, and thank you for your interest in becoming a host on ClassX! These Host Terms (the “Agreement”) are a legally binding contract between you and ClassX, Inc. (“ClassX”) regarding your use of the ClassX platform (classx.tech), mobile applications, and related services (the “Platform”) as a host (“Host”).
PLEASE READ THE FOLLOWING TERMS CAREFULLY.
1. Introduction
1.1. Welcome to ClassX.tech
ClassX.tech is an in-person course marketplace designed to provide users with access to high-quality learning experiences, courses, and interactive tools to enhance their educational experience.
1.2. Acceptance of Terms
By accessing or using the Platform, you agree to comply with and be bound by these Terms. These Terms apply to all visitors, users, and others who access or use the Services.
1.3. Modifications to Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
2. Host Responsibilities
2.1 Listings
Hosts must provide accurate, complete, and up-to-date information about their venues in their listings on the ClassX platform. This includes, but is not limited to, details such as venue availability, pricing, location, size, amenities, rules, and any other relevant information that may impact instructors’ booking decisions. Hosts are responsible for promptly updating their listings if any changes occur that affect availability or venue conditions. Inaccurate or misleading information may result in the removal of the listing or suspension of hosting privileges. ClassX reserves the right to verify and review listings to ensure compliance with platform standards.
2.2 Compliance
Hosts are solely responsible for ensuring that their venues comply with all applicable local, state, national, and international laws, regulations, and safety standards. This includes, but is not limited to, building codes, fire safety regulations, health and sanitation requirements, and any other rules relevant to the operation and use of the venue. Hosts must also ensure that their venues are accessible as required by law and are suitable for the intended use described in the listing. Failure to comply with these laws and regulations may result in the suspension or termination of hosting privileges on ClassX, and hosts are solely responsible for any fines, penalties, or legal consequences arising from non-compliance.
2.3 Venue Quality
Hosts must ensure that their venues are maintained in a safe, clean, and fully functional condition throughout the booking period. This includes, but is not limited to, providing necessary amenities as described in the venue listing, adhering to local safety and health regulations, and ensuring the venue is free of hazards that could harm instructors, participants, or other guests. If any issues arise that could impact the quality or usability of the venue, the host must notify ClassX and the instructor immediately. ClassX reserves the right to suspend or remove venue listings that fail to meet these standards.
2.4 Insurance
Hosts are responsible for obtaining and maintaining appropriate insurance coverage for their venues, including but not limited to liability insurance, property insurance, or any other relevant coverage. This insurance should cover any potential claims arising from the use of the venue by instructors, participants, or other third parties. ClassX may, at its discretion, request proof of such insurance coverage. ClassX is not responsible for providing any insurance for hosts, instructors, or participants, and hosts assume all risk related to their venue operations.
2.5 Host Conduct
Hosts must behave professionally and treat all instructors, participants, and other platform users with respect. Any form of discrimination, harassment, or inappropriate behavior is strictly prohibited. Hosts are expected to adhere to the principles outlined in our [Community Code of Conduct], which provides further guidance on acceptable behavior and interactions. Failure to comply with these guidelines may result in the suspension or termination of your hosting privileges on ClassX.
3. Booking and Hosting Process
3.1 Booking Confirmation
When you accept a booking request, you enter into a contract with the instructor to provide the venue in your listing, including all specified amenities, conditions, and availability.. While ClassX facilitates the booking process by providing the platform, payment processing, and communication tools, we may intervene if disputes arise regarding payments, cancellations, or violations of platform policies. In such cases, ClassX reserves the right to mediate or take further action to resolve the issue.
3.2 Cancellations
Hosts are not permitted to set independent cancellation policies. Once a booking is confirmed, hosts are expected to honor the commitment and provide the venue as scheduled. If a host cancels a confirmed booking, this may result in penalties, including but not limited to suspension or removal from the platform, depending on the severity or frequency of cancellations. ClassX will handle all participant refunds and manage cancellations on behalf of the instructor in accordance with platform-wide policies. In the event of an unavoidable emergency or force majeure situation, hosts must contact ClassX immediately for assistance in handling the cancellation.
3.3 Communication
Hosts are expected to respond to booking inquiries, messages, and any communications from instructors or ClassX in a timely and professional manner to ensure smooth operations and a positive experience for all users. Failure to respond within a reasonable time frame may result in negative impacts on the host’s listing visibility or platform standing. Hosts should remain available during the booking process to address any questions or concerns from instructors and ClassX. Consistent communication is crucial to maintaining a high level of service and trust within the ClassX community.
4. Pricing and Payments
4.1 Revenue Share
Hosts will receive a base revenue share of 15% of the revenue received by ClassX for each completed class if they only provide the venue and logistics without participant acquisition. However, if the host can demonstrate that they brought in up to 30% of the participants for a class, they will be rewarded with a revenue share ranging between 15% and 30%. The host must provide verifiable proof of their contribution to participant acquisition to qualify for the higher percentage. ClassX will evaluate and confirm the host’s involvement before adjusting the revenue share accordingly.
4.2 Payment Timeline:
Payments will be made within 30 days after the end of the month in which the class takes place. Hosts will receive their payment in US dollars, less any applicable fees, taxes, or refunds that may apply. Payments will be processed through the host’s preferred payment method as registered on the ClassX platform.
4.3 Deductions
ClassX reserves the right to deduct any applicable refunds issued to participants, taxes, and payment processing fees before calculating the Host’s payout. The final payout will reflect these deductions, and hosts will receive a statement detailing the breakdown of the deductions applied.
4.4 Taxes
Hosts are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to their earnings, including but not limited to income taxes, value-added taxes (VAT), or other applicable taxes. ClassX does not withhold taxes on behalf of hosts, and hosts should consult their tax advisors to ensure compliance with local tax regulations.
5. Relationship with ClassX
5.1 Independent Contractor
As a Host, you are an independent contractor and not an employee, agent, or partner of ClassX. You retain full discretion over how you provide your Host Services, including determining venue availability and other operational aspects, subject to the terms of this Agreement. However, pricing is determined in accordance with ClassX’s platform policies and the revenue share model outlined in this Agreement.
5.2 No Guarantee of Income
ClassX makes no guarantees regarding the number of bookings you will receive or the amount of income you will earn from hosting on the Platform. Your earnings will depend on various factors, including demand for your venue, the number of participants, and your involvement in promoting your classes.

6. Intellectual Property
6.1 Content Ownership
You retain full ownership of all content you upload to the Platform, including but not limited to venue images, descriptions, and other materials related to your Host Services. By uploading content, you grant ClassX a non-exclusive, royalty-free license to use, display, and distribute this content for the purposes of marketing and promoting the Platform.
6.2 License to ClassX
By submitting content to the Platform, you grant ClassX a non-exclusive, royalty-free, worldwide license to use, display, reproduce, modify, and distribute your content for marketing, promotional purposes, and any other activities related to the operation of the Platform. This license remains in effect as long as your content is available on the Platform.
6.3 Responsibility for Content
You are solely responsible for ensuring that any content you upload to the Platform does not infringe upon third-party intellectual property rights, violate any applicable laws, or breach any terms of this Agreement. ClassX reserves the right to remove content that it deems unlawful, inappropriate, or in violation of this Agreement.
7. Dispute Resolution and Arbitration
7.1 Arbitration Agreement
You are solely responsible for ensuring that any content you upload to the Platform does not infringe upon third-party intellectual property rights, violate any applicable laws, or breach any terms of this Agreement. ClassX reserves the right to remove content that it deems unlawful, inappropriate, or in violation of this Agreement.
7.2 Governing Law
This Agreement is governed by the laws of Delaware, USA, without regard to its conflict of law provisions. The arbitration proceedings will also be governed by the laws of Delaware, USA, and any legal claims or disputes will be handled within this jurisdiction.
8. Termination and Suspension
8.1 Termination by Host
You may terminate this Agreement at any time by providing written notice to ClassX. Termination will not affect any ongoing obligations, including outstanding payments, and you will be required to fulfill any commitments made before termination.
8.2 Termination by ClassX
ClassX reserves the right to suspend or terminate your access to the Platform if you violate this Agreement, misuse the Platform, or engage in any conduct that ClassX deems inappropriate or harmful to the community. Termination may occur with or without notice, depending on the severity of the violation.
8.3 Effect of Termination
Upon termination, any outstanding bookings will be automatically canceled, and ClassX will process final payments according to the terms of this Agreement. You will receive any earnings owed up to the termination date, minus applicable fees, refunds, or deductions.
9. Limitation of Liability
9.1 Platform Issues
ClassX is not responsible for any technical issues, disruptions, or malfunctions of the Platform that may prevent bookings or hinder your ability to provide Host Services. You acknowledge that such issues may occur and that ClassX does not guarantee uninterrupted access to the Platform.
9.2 Indemnification
You agree to indemnify, defend, and hold ClassX harmless from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, violation of this Agreement, or infringement of any third-party rights.
10. Force Majeure
Neither party will be liable for any failure or delay in fulfilling their obligations due to unforeseen events beyond their control, such as natural disasters, pandemics, government actions, labor strikes, or other events that make performance impossible or impractical. In such cases, both parties agree to work in good faith to minimize the impact of such events.
9. Limitation of Liability
11.1 Entire Agreement
This Agreement, together with the ClassX Terms of Service and Privacy Policy, represents the entire understanding between you and ClassX regarding hosting on the Platform and supersedes any prior agreements.
11.2 Amendments
ClassX reserves the right to modify or amend these Host Terms at any time. Any changes will be communicated to Hosts, and continued use of the Platform after changes are made will constitute your acceptance of the amended terms.
